Terms of Service

These Terms of Service ("Terms") govern your purchase and use of services provided by KochWorks LLC ("KochWorks", "we", "us"). By purchasing a plan, signing an order form, or using our services, you ("Client", "you") agree to these Terms.

1. Services

KochWorks provides done-for-you lead response and follow-up services for businesses, which may include automated lead response messaging, missed-call text-back, follow-up and reactivation sequences, review generation, reporting, and related configuration and support. The specific services included in your engagement are those described on your selected plan at kochworks.io/#pricing or in a written proposal we provide to you.

We may improve, modify, or substitute the underlying tools and platforms we use to deliver the services, provided the substance of the services described in your plan is maintained.

2. Fees, billing, and renewal

  • All fees are stated and charged in United States dollars (USD) and exclude applicable taxes.
  • One-time setup fees are billed in full before work begins.
  • Monthly subscription fees begin on your launch date and renew automatically on the same day each month until cancelled.
  • Payments are processed by Stripe, Inc. By providing a payment method, you authorize us to charge that method for all fees due, including recurring monthly fees, until you cancel.
  • Pass-through costs, such as carrier messaging fees, are billed at cost and itemized on your invoice.

We will give you at least 30 days' written notice before any change to your recurring rate. Continuing your subscription after the notice period constitutes acceptance of the new rate.

3. Failed payments

If a payment fails, we will attempt to charge your payment method again and notify you. If payment remains outstanding for 10 days, we may suspend your services until the balance is paid. Accounts unpaid for 30 days may be terminated and their configuration deleted.

4. Cancellation and refunds

Plans are month-to-month with no minimum term. Cancellation and refund terms are set out in our Refund & Cancellation Policy, which forms part of these Terms.

5. Client responsibilities

You agree to:

  • Provide accurate business information and timely access to any accounts, phone numbers, or lead sources required to deliver the services.
  • Review and approve message content before it is sent on your behalf.
  • Comply with all laws applicable to your business and to the messages sent on your behalf, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and applicable state law.
  • Ensure you have the necessary consent to contact the individuals in any contact list you provide to us.

You are responsible for the accuracy and lawfulness of any contact data you supply. We may suspend services if we reasonably believe messaging on your behalf would violate law or carrier policy.

6. Acceptable use

You may not use the services to send unsolicited bulk messages, to transmit unlawful, deceptive, harassing, or infringing content, or to promote products or services prohibited by our payment processor or messaging carriers.

7. Intellectual property

You retain ownership of your business name, marks, content, and customer data. KochWorks retains ownership of its templates, sequences, processes, configurations, and any tooling used to deliver the services. Upon full payment, you receive a non-exclusive licence to use the deliverables we produce for you, for your own business purposes, for as long as your account is active.

8. Confidentiality

Each party will protect the other's non-public business information with at least reasonable care and will not disclose it except to personnel and contractors who need it to perform under these Terms.

9. No guarantee of results

We do not guarantee any specific number of leads, appointments, reviews, sales, or revenue. Results depend on factors outside our control, including your market, pricing, lead volume, and how quickly you respond to conversations we start for you. Any figures shown on this website are illustrative and are not a promise of performance.

10. Disclaimers

The services are provided "as is" and "as available". To the fullest extent permitted by law, KochWorks disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We are not responsible for outages, delays, or message failures caused by third-party platforms, carriers, or your own systems.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business. KochWorks' total aggregate liability arising out of or relating to these Terms will not exceed the amount you paid us in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold KochWorks harmless from any claim, loss, or expense arising from your breach of these Terms, your contact data, your instructions regarding message content, or your violation of any law or third-party right.

13. Termination

Either party may terminate for convenience under the Refund & Cancellation Policy. Either party may terminate immediately for material breach that remains uncured 10 days after written notice. On termination, we will deactivate your system and, on written request made within 30 days, provide an export of your conversation and contact data.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. The "last updated" date above reflects the current version.

15. Governing law

These Terms are governed by the laws of the State of Vermont, United States, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Vermont.
